Terms and conditions
These terms apply to all quotations, assignments and agreements of Wicoda, unless agreed otherwise in writing.

1. Who we are
These terms are those of Wicoda, established in South Holland, the Netherlands. You can reach us at info@wicoda.nl or +31 (0)6 52 41 14 30.
2. Definitions
Supplier means Wicoda. Client means the party entering into an agreement with the supplier. Work covers all software, documentation and services delivered by the supplier.3. Quotations and formation
Quotations are valid for 30 days and without obligation. An agreement is formed as soon as the client accepts the quotation in writing or by email, or as soon as the supplier starts work with the client's approval.
4. Performance
The supplier performs the assignment to the best of its knowledge and ability. Stated timelines are indicative unless a strict deadline has been explicitly agreed. Work is carried out iteratively by default, with interim deliveries and reporting on progress and hours spent.
5. Client cooperation
The client provides the information, access and decisions required for performance in good time. Any delay resulting from a failure to do so is not for the supplier's account.
6. Additional work
Changes to the scope are discussed in advance and, where they lead to extra work, quoted separately. The supplier only carries out additional work after written approval.
7. Rates and payment
Rates exclude VAT and travel expenses. Invoicing takes place monthly in arrears for time and materials, or according to the payment milestones in the quotation for a fixed price. The payment term is 14 days. If it is exceeded, the supplier is entitled to charge statutory commercial interest and collection costs and to suspend the work.
8. Intellectual property
Upon full payment the client obtains a perpetual, non-exclusive right of use to the work developed specifically for the assignment. The supplier retains the rights to generic components, frameworks and knowledge used or created during performance, and may reuse them.
9. Warranty and support
Delivered custom work carries a 30-day warranty period: defects measured against the agreed functionality are fixed free of charge within that period. Ongoing maintenance, monitoring and support are agreed separately in a service agreement with matching response times.
10. Liability
The supplier's liability per event is limited to the amount invoiced for the assignment concerned in the three months preceding the damage, capped at the amount paid out by the insurer. Liability for indirect damage, including lost profit, missed savings and data loss, is excluded. These limitations do not apply in the case of intent or wilful recklessness.
11. Confidentiality and data
The parties keep confidential information secret, including after the agreement has ended. Where the supplier processes personal data on behalf of the client, the parties enter into a data processing agreement.
12. Term and termination
Ongoing agreements may be terminated by either party with one month's notice, unless agreed otherwise. Work already performed is settled.
13. Governing law
All agreements are governed by Dutch law. Disputes are submitted to the competent court in the district where the supplier is established.
